Every company incorporated under the Companies Act, 2013 must have its registered office within 30 days of its incorporation. The promoters are required to declare a particular place (address) as a registered office of a company and need to get it registered at the MCA.

Further, the location of the registered office of a company decides the registrar of the company (ROC), where the incorporation documents shall be submitted. 

Therefore, while incorporating the company, the company must file the necessary address proof, of official address such as lease dead, ownership documents, or rent agreement.

A registered office is where all communications and notices related to the company are delivered by various government entities. The registered office of a company is also known as its principal place of business to maintain all necessary documents.

In short, it must be a complete, physical postal address in the same jurisdiction where the company is registered.

Difference Between A Registered Office And A Corporate Office 

Registered office: Registered office of a company is the physical place where the legal documents are received, such as notices & other communications.

Corporate office: Corporate offices are usually the place where the executives of the company work and take decisions related to the company.

 In simple terms, we can say that a company may have many offices across the country that report to the corporate office.

As per the Indian company law, i.e., section 12 of the companies act, 2013, it states that a company shall have a registered office and it must be capable of receiving and acknowledging all communications and notices.

Therefore, it is the legal requirement for every corporation to declare a registered office address to the ROC within thirty days of its incorporation. 

In addition, the companies also have to print their name, registered office address, and other details on the letterheads, bills of exchange, and other official publications.

Change In The Registered Office Of A Company

The company intimates any change in the registered office of a company by filing FORM INC22 and submitted to the ROC. 

The time period specified for change in the registered office of a company is as below:
